CybSecWatch, LLC Terms of Service

The following terms and conditions (these “Terms of Service”) apply to www.cybsecwatch.com and governs your use of the subscription that you purchase in connection with a certain CybSecWatch educational tools (the “Subscription”).

By accessing and using this Website, you agree to be bound by these Terms of Service, and to comply with all applicable laws and regulations. If you agree to be bound by the terms of this Terms of Service, you should check the box on the subscription page indicating your acceptance of this Terms of Service. If you do not agree to be bound by the terms of this Terms of Service, you should not check the box and you will not be able to proceed with the process for the Subscription and become a subscriber.

The Subscription and the website at https://www.cybsecwatch.com (the “Site”) and their related content are provided to you “as is” and on an “as available” basis and without guarantee. While every effort has been made to offer up-to-date and accurate information, errors can occur. Although CybSecWatch may make changes to the content in the Subscription and on the Site at any time without notice, CybSecWatch does not make any commitment to update the Subscription and the Site. Without limiting the foregoing, CybSecWatch does not represent or warrant that this Site, its content, or any information or other materials downloaded from the Subscription and the Site will be accurate, current, uninterrupted, secure, error-free, omission-free, free of viruses or other harmful components, or will meet any particular criteria of performance or quality.

CybSecWatch makes no representations or warranties of any kind in connection with the subject matter of the Subscription or about the accuracy, completeness and suitability of the information. The Subscription may contain certain historical information. Historical information, necessarily, is not current and is provided for reference only. The Subscription is provided solely for educational purposes.

We may change the terms of this Terms of Service at any time by notifying you of such changes in writing or electronically. The changes also will appear in this document, which you can access at any time through www.cybsecwatch.com/termsofservice, or the link at the bottom of an email. You signify that you agree to be bound by such changes by using the Subscription after changes are made to this Terms of Service.

Your submission or personal information and other information are subject to our Privacy Policy. Your information may be stored and processed in the United States and by subscribing to the Subscription, you consent to the transfer of information to the United States. If you access the Subscription using a password, you are solely responsible for maintaining the confidentiality of that password. You agree to notify us promptly if you change your address or email so we can continue to contact you and send any notices required hereunder. If you fail to notify us promptly of a change, then any notice we send to your old address or email shall be deemed sufficient notice.

You agree to pay the subscription fees and any other charges incurred in connection with the Subscription (including any applicable taxes) at the rates in effect when the charges were incurred. IF YOU SUBSCRIBE TO THE PAID SERVICES FOR A TERM (THE “TERM”), THEN THE TERM WILL BE AUTOMATICALLY RENEWED FOR ADDITIONAL PERIODS OF THE SAME DURATION UNLESS YOU OPT OUT OF THE AUTO-RENEWAL. We may change the fees and charges in effect, or add new fees or charges, by giving you notice in advance. If you want to use a different credit card or there is a change in credit card validity or expiration date, or if you believe someone has accessed the Subscription using your user name and password without your authorization, you must contact CybSecWatch immediately. You are responsible for any fees or charges incurred to access the Subscription through an Internet access provider or other third-party service.

Your subscription will continue indefinitely until terminated in accordance with this Terms of Service. For quarterly subscribers, after your initial subscription period, and again after any subsequent subscription period, your subscription will automatically commence on the first day following the end of such period (each a “Renewal Commencement Date”) and continue for an additional equivalent period. For annual subscriptions, we will notify you of the pending renewal of the Subscription at least 30 days prior to the date the Subscription renews, except as otherwise required by law.

Unless you notify CybSecWatch in writing within Ten (10) business days prior to the end of the applicable subscription period that you want to cancel your subscription will automatically renew and you authorize us to collect the applicable Term subscription fee (as well as any taxes) using any credit card or other payment mechanism we have on record for you.

The text, graphics, CybSecWatch logo, images, video, design, organization, compilation, look and feel, advertising and all other protectable intellectual property (the “Content”) available through the Subscription and our website is our property or third parties and is protected by copyright and other intellectual property laws. Your access and use of the Subscription is limited as follows:

Only one individual may access the Subscription at the same time using the same user name or password, unless we agree otherwise.
You may not publish, sell, or otherwise provide access to the emails or Content received through the Subscription.
You may ONLY forward or distribute the downloaded Subscriptions to your employees provided that such forwarding or distribution is for informational, noncommercial purposes only, and (ii) any copy of the content that you make must include the copyright notice or other attribution associated with CybSecWatch.
You may add your company logo, if applicable, links and other proprietary content to the Subscription prior to distribution or forwarding to your employee.
You may not modify the Content. You may not create abstracts from, scrape or display headlines from the Content for use on another web site or service. You may not post any Content to weblogs, newsgroups, mail lists or electronic bulletin boards, without our written consent.
You are not authorized to copy any content, software, proprietary processes, or technology embodied or described in this Site or Subscription.
You may not use the Subscription for any unlawful purpose. We reserve the right to terminate or restrict your access to the Subscription if, in our opinion, your use of the Subscription may violate any laws, regulations or rulings, infringe upon another person’s rights or violate the terms of this Terms of Service.

YOU AGREE THAT YOUR USE OF THE SUBSCRIPTION AND THE CONTENT AVAILABLE THROUGH THE SUBSCRIPTION IS ON AN “AS-IS”, “AS AVAILABLE” BASIS AND WE SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATIONS OR WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. In addition, CybSecWatch makes no representations or warranties of any kind in connection with the subject matter included on or the use of the Site, and use of the Site is subject to the disclaimers, terms and conditions of use found at the Site.

CYBSECWATCH WILL NOT BE LIABLE (JOINTLY OR SEVERALLY) TO YOU OR ANY OTHER PERSON AS A RESULT OF YOUR ACCESS TO OR USE OF THE SUBSCRIPTION, FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS AND LOST REVENUES (COLLECTIVELY, THE “EXCLUDED DAMAGES”), WHETHER OR NOT CHARACTERIZED IN NEGLIGENCE, TORT, CONTRACT, OR OTHER THEORY OF LIABILITY, EVEN IF ANY OF THE CYBSECWATCH PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN ANY OF THE EXCLUDED DAMAGES, AND IRRESPECTIVE OF ANY FAILURE OF AN ESSENTIAL PURPOSE OF A LIMITED REMEDY. IF ANY APPLICABLE AUTHORITY HOLDS ANY PORTION OF THIS SECTION TO BE UNENFORCEABLE, THEN THE CYBSECWATCH PARTIES’ LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY APPLICABLE LAW. IN NO EVENT WILL ANY OF THE CYBSECWATCH PARTIES BE LIABLE FOR ANY DAMAGES OR LOSSES RESULTING FROM ANY DECISIONS YOU MAKE AS A RESULT OF ACCESSING OR USING THE SUBSCRIPTION.

By using the Subscription, you accept the foregoing disclaimers and limitations on liability and you assume all risks associated with such use (including without limitation, risk to your computer, software or data being damaged by any virus transmitted or activated via the Subscription or material that may be included within or accessed from the Subscription). Further, the presence of any hyperlinks from the Subscription to other websites operated by parties other than CybSecWatch does not imply any kind of endorsement of the content on such websites by CybSecWatch or any association with the owners or operators of such websites, and the views expressed at such websites that may be linked through the Subscription are not necessarily the views of CybSecWatch or its employees. Such hyperlinks are provided for information and reference purposes only and CybSecWatch is not responsible for the availability of these external websites or for any of the contents, advertising, products, or other materials on such websites. Any concerns regarding any hyperlink should be directed to the respective website owner or operator/webmaster.

THE SUBSCRIPTION IS BASED ON INFORMATION AVAILABLE AS OF THE TIME IT WAS WRITTEN. CYBSECWATCH AND ITS INFORMATION PROVIDERS DISCLAIM ANY DUTY TO UPDATE THE SUBSCRIPTION. IN PARTICULAR, BY CONTINUING TO MAKE THE CONTENT OF THE SUBSCRIPTION AVAILABLE, ON THE SITES OR OTHERWISE, CYBSECWATCH DOES NOT MAKE ANY REPRESENTATION AS TO THE TIMELINESS OF THE INFORMATION IN THE SUBSCRIPTION.

This Terms of Service contains the final and entire agreement between us regarding your use of the Subscription and supersedes all previous and contemporaneous oral or written agreements regarding your use of the Subscription. We may discontinue or change the Subscription, or its availability to you, at any time. This Terms of Service is personal to you, which means that you may not assign your rights or obligations under this Terms of Service to anyone. No third party is a beneficiary of this Terms of Service. You agree that these Terms of Service and any legal action or proceeding relating to this Website shall be governed by the laws of the State of Maryland without reference to its choice of law rules. The sole jurisdiction and venue for any litigation arising out of this Terms of Service will be an appropriate federal or state court located in the State of Maryland.
